Terms of Service
Effective 19 August 2026 · Last updated 19 August 2026 · Version 1.0. These Terms govern your use of PartOptix, operated by Neat Labs LLC.
1. Acceptance of these Terms
By creating a PartOptix account or using the PartOptix website or application, you agree to these Terms of Service. If you are using PartOptix on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf, and "you" refers to that organisation.
If you do not agree with these Terms, please do not use PartOptix.
2. About PartOptix and Neat Labs LLC
PartOptix is operated by Neat Labs LLC. PartOptix is the product and brand name.

PartOptix is a component intelligence and BOM optimization platform for electronic hardware engineers, designers, procurement professionals, product development teams and related businesses.
Depending on your plan, PartOptix may provide BOM analysis, supplier pricing comparisons, component information, lifecycle and risk analysis, SmartReplace™ recommendations, potential component alternatives, BOM optimization, cost analysis, reports and exports, related engineering decision-support services. PartOptix provides decision-support information and does not guarantee engineering, procurement or commercial outcomes.
3. Eligibility
PartOptix is designed primarily for engineering professionals, businesses, freelancers, startups, students and other technically capable users. You must be at least 18 years old, or otherwise legally capable of entering into this agreement in your jurisdiction.
Where you use PartOptix as a consumer, mandatory consumer protection rights in your jurisdiction continue to apply.
4. Accounts and account security
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for activity that occurs under your account. Please notify security@partoptix.com promptly if you believe your account has been compromised.
Accounts are for the individual or organisation that created them. Sharing a single set of credentials among multiple people to avoid seat or usage limits is not permitted.
5. Permitted use
Subject to these Terms and your plan limits, you may use PartOptix for your own internal engineering, design, procurement and product-development purposes, including work you carry out for your employer or your clients.
You may not resell, sublicense or redistribute PartOptix outputs in a way that substantially reproduces PartOptix or a supplier dataset as a competing product or data service.
6. Your BOM and project data
You retain ownership of the proprietary bills of materials, project names, quantities, reference designators, notes and other content you upload. We do not claim ownership of your BOMs.
By uploading content you grant Neat Labs LLC only the rights reasonably required to store, process, normalize, analyze, secure, back up and transmit technically necessary component identifiers to supplier and data providers in order to generate the PartOptix results you requested.
Customer-specific information — BOM composition, quantities, reference designators, project names, notes and private reports — is treated as private account or team data and is not intentionally exposed to unrelated PartOptix customers. Disclosures may occur to service providers and subprocessors, where legally required, for security and fraud prevention, and where you authorise sharing. See the Privacy Policy.
Separately, PartOptix maintains non-customer-specific component intelligence — manufacturer part numbers, public specifications and datasheet information, categories, normalized package and value data, permitted supplier offers, generic technical relationships, generalized compatibility relationships and aggregate or de-identified operational information. This shared layer is built so that no customer can infer another customer's proprietary BOM composition or confidential project information from it.
7. Component and supplier data
PartOptix uses third-party supplier and component data sources, including providers such as Mouser and DigiKey, and may add further permitted providers. PartOptix does not own supplier data, and attribution is displayed where required.
Pricing, stock, minimum order quantities, lead times, lifecycle status and technical specifications may change at any time, may contain omissions or errors, and cached information may not represent a supplier's current state. We do not guarantee the accuracy, completeness or availability of supplier data. You should verify procurement-critical information directly with the relevant manufacturer or distributor before placing orders.
8. SmartReplace™ and engineering recommendations
PartOptix is an engineering decision-support platform. It is not a substitute for final engineering verification. SmartReplace recommendations are potential candidates, and compatibility scores and classifications (including DROP-IN) are decision-support information only.
Before using any recommendation you must:
- review the manufacturer datasheets;
- verify pinout and footprint;
- verify electrical and thermal limits;
- validate firmware and software compatibility where relevant;
- prototype, test and requalify components where appropriate.
Final component qualification, product safety and manufacturing decisions remain the responsibility of the engineer, designer, purchaser and/or manufacturer.
Cost figures presented by PartOptix are potential savings based on available data. We do not guarantee a specific cost reduction, future supplier availability, component compatibility, a purchasing outcome or uninterrupted supply.
9. Intellectual property
PartOptix, including its software, interfaces, matching rules, scoring models, normalized datasets and branding, is owned by Neat Labs LLC or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use PartOptix while your account is in good standing — no other rights are granted.
Third-party manufacturer and distributor trademarks and data remain the property of their respective owners.
10. Plans, subscriptions and usage limits
PartOptix plans are governed by usage limits which may include Component Analyses, SmartReplace Queries, Live Price Refreshes, BOM-size limits, seats and reports or exports. Current allowances are shown on the pricing page and in your account.
Usage-limit definitions may evolve as the product develops. You may not circumvent technical limits or create multiple accounts primarily to evade quotas.
11. Paddle as Merchant of Record
Paid PartOptix subscriptions and one-time purchases are processed and sold through Paddle, our Merchant of Record. Your payment transaction is subject to Paddle's applicable Buyer Terms and policies in addition to these PartOptix Terms governing your use of the software.
Paddle handles payment processing, invoicing, applicable taxes and related transaction responsibilities in accordance with its own terms. PartOptix does not directly store or process your complete payment-card details; payment information is handled through Paddle's checkout and payment infrastructure.
Paddle's Buyer Terms separately govern the payment transaction between Paddle and you as buyer.
12. Cancellation
You may cancel your subscription at any time through the available subscription-management tools. Unless otherwise required by Paddle, applicable law, or communicated at cancellation, your cancellation will normally take effect at the end of your current paid billing period. You will not be charged for subsequent renewal periods after cancellation becomes effective.
Historical projects and BOMs may remain accessible according to your resulting plan and its applicable usage limits.
13. Refunds
Refund requests should generally be submitted within 14 days of the relevant transaction. Because Paddle acts as Merchant of Record for PartOptix purchases, eligible refunds are processed through Paddle and are subject to Paddle's Buyer Terms, Refund Policy, and applicable law.
Refund eligibility may take into account Paddle's Buyer Terms and Refund Policy, applicable consumer law, and product usage or consumption where relevant. Refund requests are assessed individually and are not automatically guaranteed where the applicable policy or law does not provide for that.
Where you expressly consent to immediate access to a digital service at checkout, your statutory withdrawal rights may be affected as described in applicable law and Paddle's checkout terms.
Nothing in this policy limits any mandatory consumer cancellation, withdrawal, refund, or other statutory rights that apply in your jurisdiction.
To request a refund, start from your Paddle receipt or subscription-management link, or contact Paddle buyer support. You can also contact billing@partoptix.com for assistance — eligible refunds for Paddle transactions are processed through Paddle. Full details are on the Billing & Refund page.
If you experience a material technical problem, please contact support@partoptix.com so we have a reasonable opportunity to investigate and resolve it. This does not override any mandatory refund rights you have.
14. Analysis Packs and purchased usage
A PartOptix Analysis Pack is a one-time purchase of additional usage capacity rather than a subscription. Purchased capacity is intended not to expire merely because a monthly billing period ends.
Refunded capacity may be removed, fraudulent or abusive transactions may be reversed, and capacity may become unavailable following lawful termination of an account. Applicable law and Paddle policies prevail. We do not promise perpetual service availability.
15. Free plan
A Free plan may currently be provided without charge. Neat Labs LLC may change Free-plan quotas and included features, impose reasonable limitations, or discontinue or replace the Free plan. Where reasonable, we will communicate material changes to affected users.
Previously purchased paid entitlements will not be arbitrarily removed contrary to the applicable purchase terms.
16. Acceptable use and prohibited conduct
When using PartOptix you must not:
- use the service for unlawful activity;
- attempt unauthorized access to accounts, systems or data;
- conduct security attacks against the service or its providers;
- upload or distribute malware;
- share account credentials where prohibited by your plan;
- circumvent quotas or technical limits;
- send automated abusive or load-generating requests;
- scrape or bulk-extract PartOptix datasets;
- resell or redistribute supplier datasets contrary to the applicable rights granted by those suppliers;
- reverse engineer the service primarily in order to extract proprietary PartOptix data, models or matching rules;
- attempt to obtain another customer's BOM or project information;
- abuse supplier APIs through PartOptix;
- infringe intellectual-property rights.
Nothing here restricts activity that applicable law expressly permits, including legitimate interoperability and research rights that cannot be contractually excluded.
17. Suspension and termination
We may suspend, restrict or terminate access for breach of these Terms, security threats, fraud, abuse, payment failure or non-payment, quota manipulation, supplier or API abuse, or where legally required.
Where reasonable and safe to do so, we will give notice and an opportunity to remedy non-urgent violations. Immediate suspension may occur where there is a serious security, fraud or legal risk. You may stop using PartOptix, delete your projects and BOMs, or request account deletion at any time.
18. Service availability and modifications
PartOptix is provided on an as-available basis. Features may change, and distributor-backed features depend on third-party availability. We may modify, add or remove functionality to improve or maintain the service, and will avoid material degradation of paid entitlements without reasonable notice.
19. Disclaimers
Except as expressly stated in these Terms and to the extent permitted by law, PartOptix is provided without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that supplier data, lifecycle information or compatibility assessments are accurate or complete.
Nothing in this section removes warranties or guarantees that cannot be excluded under applicable law, including mandatory consumer guarantees.
20. Limitation of liability
To the maximum extent permitted by law, Neat Labs LLC is not liable for indirect, incidental, special or consequential loss, including lost profits, production delays, scrapped inventory, redesign costs or procurement losses arising from decisions made using PartOptix output.
Where liability cannot be excluded, our total aggregate liability arising out of or relating to PartOptix is limited to the amounts you paid for PartOptix in the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or mandatory statutory liability.
21. Indemnification
Where you use PartOptix for business purposes, you agree to indemnify Neat Labs LLC against third-party claims arising from your unlawful use of the service, your breach of these Terms, or content you upload that you had no right to upload. This does not apply to claims caused by our own breach or negligence, and does not apply where mandatory consumer law prohibits such an obligation.
22. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory laws applicable to you provide otherwise.
Disputes relating specifically to PartOptix or Neat Labs LLC may be brought before courts of competent jurisdiction in Wyoming, United States, except where mandatory consumer laws require another venue or provide additional rights.
Paddle's Buyer Terms separately govern the payment transaction between Paddle and the buyer.
23. Mandatory consumer rights
If you use PartOptix as a consumer, you keep all mandatory rights available to you under the law of your country of residence, including any statutory cancellation, withdrawal, refund or remedy rights. Where these Terms conflict with those rights, the mandatory rights prevail for you.
24. Changes to these Terms
We may update these Terms as PartOptix develops or where legal requirements change. The effective date and version above will be updated, and for material changes we will provide reasonable notice where appropriate. Changes do not retroactively remove rights that have already accrued to you under mandatory law.
